The following policies, including our Terms and Conditions of Use, Privacy Policy, Disclaimers & Disclosures, Terms of Purchase, and Refund Policy (collectively, "Terms"), entered into by and between You and PSYEED LLC, ("Company," "Psyeed®," "we," "us," "our"), govern your use of the website psyeed.com and any subdomains ("Website"), including all materials, resources, information, and services on the Website, whether as a guest or registered user.

References to "Stephanie Kole," "Stephanie Kole," or "I" in these Terms refer to Stephanie Kole solely in her capacity as a Manager of Psyeed, LLC and do not create any personal liability or obligation on the part of Stephanie Kole individually.

Your access to and use of the Website is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and others who access or use the Website.

By accessing or using the Website you agree to be bound by these Terms, without modification, and acknowledge reading them. If you disagree with any part of the Terms, you may not access the Website.

We do not guarantee that this website will operate without errors, interruptions, or the presence of viruses or other harmful elements.

These Terms explain and set expectations for both of our rights and responsibilities related to how you use our Website.

1.1 Use of the Website

To access or use the Website, you must be 18 years of age or older and have the requisite power and authority to enter into these Terms. Children under the age of 18 are prohibited from using the Website. Information provided on the Website and any resources provided on or available for download from the Website are subject to change.

The Company makes no representation or warranty that the information provided, regardless of its source, is accurate, complete, reliable, current, or error-free. The Company disclaims all liability for any inaccuracy, error, or incompleteness in the information provided.

This website and its owner do not establish a professional relationship with you. The information provided here should not be considered a substitute for the care of a licensed health or mental health professional. We strongly encourage you to seek medical assistance for any personal health concerns.

Psyeed®, LLC and Stephanie Kole, in her capacity as a Manager of the Company, is not a medical practice or a practice that diagnoses or treats illnesses of any kind, of body or mind.

By engaging with any educational content from Psyeed®, LLC or its practitioners, you acknowledge that any decisions you make based on this information are your own. You understand that by continuing to engage, you accept all associated risks.

The recipient of services agrees to release Psyeed®, LLC, its parent company, members, managers, owners, employees, contractors, agents, affiliates, successors, and volunteers from any and all claims, demands, actions, liabilities, losses, damages, or injuries that may arise from the use of any services and the website, as well as any action or lack of action you as the participant or attendee choose to enact or not enact. You acknowledge at your own free will, decisions, and sole responsibility for the decisions and choices you make. You acknowledge it is your full responsibility to vet all resources, references, and fact-check all material presented, cited, mentioned, or referenced on the Psyeed.com website, links, external links, podcasts, courses (live and on-demand), email, and any material, audio, video, or conversations represented by Psyeed.com or Stephanie Kole.

The Company reserves the right to withdraw or amend this Website and any service or material provided on the Website in its sole discretion without notice. The Company will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period. From time to time, the Company may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

1.2 Children's Privacy

Our Site is not intended for children under the age of 18. We do not knowingly collect personal information from children under 18. If we become aware that we have inadvertently received personal information from a visitor under the age of 18, we will delete the information from our records.

1.3 Lawful Purposes

The Psyeed® trademark, proprietary methodologies (including the Psyeed® Method), and related intellectual property are owned by the Company and/or its affiliates (collectively, the "IP Owner"), and all rights therein are reserved.

We reserve all rights in and to our common law and registered trademarks, service marks, copyrights, and other intellectual property rights, including but not limited to text, graphics, photographs, video, design, and packages, belonging to the Company, the IP Owner, or our licensors ("IP"). You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of our IP in whole or in part, without our prior written consent. We reserve the right to immediately block your access to the Website and remove you from any service, without refund, if you are caught violating this intellectual property policy. You are granted a non-exclusive, non-transferable, revocable license to access and use the Website and the resources available for download from the Website (the "Content") strictly in accordance with these Terms of Use. As a condition of your use of the Website, you warrant to the Company that you will not use the Content for any purpose that is unlawful or prohibited by these Terms. All content included as part of the Content, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Website, is the property of the Company, the IP Owner, or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. The Content is not for resale. Your use of the Content does not entitle you to make any unauthorized use of any protected content. You will use protected content solely for your individual use and will make no other use of the Content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of the Company, the IP Owner, or our licensors except as expressly authorized by these Terms.

The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company, the IP Owner, or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Prohibited Activities: Data Scraping, AI Training, and Dataset Creation

You are expressly prohibited from engaging in any activity that involves the automated downloading, scraping, or extraction of content from this Website, including but not limited to the use of bots, scripts, web crawlers, or other automated tools or technologies. This prohibition applies to the collection, storage, or creation of datasets derived from multiple pages or any substantial portion of this Website's content, regardless of the intended purpose.

This restriction includes, but is not limited to, the use of such datasets for:

  • Academic research

  • Commercial purposes

  • Machine learning training or AI model development

  • Data analysis or aggregation

Any use of this Website or its content for research, data collection, AI training, or other purposes that involve systematic extraction of content requires prior written consent from Psyeed, LLC. Unauthorized use or failure to obtain such consent may result in the immediate suspension or termination of your access to the Website and its services. Additionally, Psyeed, LLC reserves the right to pursue legal action, including but not limited to seeking damages, injunctive relief, and any other remedies available under applicable law, including claims for copyright infringement, trademark infringement, breach of contract, and misappropriation of proprietary information.

Prohibited Activities

Do not use, post, or promote defamatory content or language that may be potentially harmful to others in any way — including psychological, mental, or physical verbiage or threats, language, images, or comments — on social media, blogs, course platforms, community platforms (this is not an exhaustive list) towards others, anyone related to, volunteering, or working with Psyeed®, LLC or Stephanie Kole, or content that violates copyright laws. Such content will be removed promptly upon notice or notification of violation.

Do not share, reproduce, copy, or sell any information from the website and any platforms, video sessions, in-person sessions, discovery calls or consultations, blog posts, podcasts, including: intellectual property, proprietary methodologies, materials, classes/courses, photos, images, or social media. All provided materials are intended for personal study only and should not be used, shared, copied, sold, or reproduced for any other purpose.

Do not make recordings (audio or visual) or AI transcriptions of any kind, of any videos, trainings, syncs, calls, Zoom (or similar) sessions, teachings, in-person conversations, classes, podcasts, or courses. By using and/or viewing the website you agree to not share, use, or copy written content, intellectual property, videos, audios, podcasts, trainings, courses (live and on-demand), guides, logos, slogans, templates, graphics, text, font images, and downloadable resources and materials of any kind.

The content on this website may not be copied, shared, altered, repurposed, or used for commercial or personal purposes without obtaining written consent from Stephanie Kole, in her capacity as a representative of the Company, in advance. The Company reserves the right to revoke such consent with written notice, including but not limited to text, email, or letter.

All lectures, videos, modules, methodologies, audios, podcasts, materials, handouts, graphics, trainings (live or virtual), courses, and all other academic content are owned by the Company and/or the IP Owner.

1.7 Use of Artificial Intelligence (AI) Tools by the Company

The Company may use artificial intelligence (AI) tools and technologies in connection with its business operations and service delivery.

Operational Use of AI: The Company may use AI tools to assist with research, content creation, ideation, analytics, social media management, email drafting, scheduling, administrative tasks, and business operations. The Company will review and refine any AI-generated output used in its public-facing content and business materials to ensure accuracy and quality.

Use of AI in Connection with Sessions and Services: The Company may use AI tools during or in connection with coaching sessions, breathwork sessions, discovery calls, and other services, including but not limited to: AI-powered transcription and note-taking during virtual sessions; AI-assisted summarization of session content; AI tools used for scheduling, reminders, and follow-up communications; and AI-assisted research or resource recommendations. You will be notified when AI tools are being actively used during a live session.

AI-Generated Content on This Website: Certain content on this Website may be created or enhanced with the assistance of AI tools. While the Company reviews all AI-generated content for accuracy and alignment with our values, AI-generated content may contain errors, omissions, or inaccuracies. You should not rely solely upon any content on this Website without conducting your own due diligence.

While the Company may use AI tools to assist with the creation of certain aspects of the Content or Intellectual Property included on the Site, such use is limited to ideation, research, brainstorming, and concepting. The Company does not use AI tools to generate drafts or final versions of content to be delivered as part of services or published on the Website. All Content and Intellectual Property on the Site has been reviewed, refined, and approved by qualified human professionals and shall be considered Intellectual Property of the Company protected by and subject to the Intellectual Property provisions of this Agreement.

AI and Your Personal Information: When AI tools are used in connection with your sessions or personal information, they are subject to the same privacy protections described in our Privacy Policy. The Company will not use your personal information to train third-party AI models. Session data processed by AI tools is treated as confidential and stored securely in accordance with our data storage practices.

Limitations of AI: AI tools are not a substitute for human professional judgment. The Company does not rely solely on AI-generated outputs for any decision-making that affects your services, coaching plan, or well-being. All AI-assisted outputs related to your sessions or services are reviewed by a qualified human professional. The Company shall not be liable for any errors, omissions, or inaccuracies resulting from the use of AI tools, and you agree to hold the Company harmless from any claims arising from reliance on AI-generated content or outputs.

Your Rights Regarding AI Use: You may request that AI transcription and note-taking tools not be used during your sessions by notifying the Company in writing at hello@psyeed.com prior to your session. The Company will make reasonable efforts to accommodate such requests, though certain administrative AI uses (such as scheduling and billing) may still apply.

1.8 User Restrictions on Use of Artificial Intelligence Tools

Prohibition Against Using AI on Company's Work Product: You agree not to input any work created by the Company, whether in draft or final form, in whole or in part, into any software or platform that employs machine learning, large language models, or natural language processing to generate, analyze, or refine creative and technical outputs, including but not limited to Claude, ChatGPT, Gemini, Midjourney, or similar technologies ("Generative AI") for any reason whatsoever, including but not limited to making edits, providing feedback, visualizing adjustments, training future outputs, or suggesting improvements.

Generative AI tools use inputs to inform future outputs. You acknowledge that the nature of Generative AI tools necessarily means inputting Company's work threatens the intellectual property of the Company used in creating the deliverables provided as part of the Services and your intellectual property rights in the final work.

If you input any of Company's work product into a Generative AI tool, the Company may terminate your access to any services, products, or the Website effective immediately, with no refund or compensation owed to you. In such event, the Company will not be required to provide the remainder of any services and all Work Product will remain the property of the Company.

Prohibition Against AI Notetakers in Virtual Meetings: AI Tools that attend virtual meetings for the purpose of taking notes, creating transcripts, or generating meeting summaries will not be admitted to any videoconferencing meetings with the Company. This prohibition does not apply to AI Tools used for accessibility purposes. If you require the use of an AI Tool for accessibility, please notify the Company at hello@psyeed.com to ensure an accommodation.

1.9 Consent to Record Virtual Sessions

Certain services offered by Psyeed®, LLC may be conducted via video conferencing platforms such as Zoom or similar technology. By participating in any virtual session (including but not limited to coaching sessions, breathwork sessions, discovery calls, group sessions, courses, and workshops), you acknowledge and agree to the following:

Company Recording: The Company may record virtual sessions (audio and/or video) for quality assurance, training, note-taking, and/or record-keeping purposes. You will be notified at the beginning of any session that is being recorded and will have the opportunity to decline participation. By continuing to participate after notification, you consent to being recorded.

AI-Assisted Notes and Summaries: The Company may use artificial intelligence (AI) tools, including AI-powered transcription and summarization features integrated into video conferencing platforms, to generate session notes, summaries, and action items. These AI-generated outputs are reviewed by the Company for accuracy but may contain errors. AI-generated session materials are treated as confidential records and are stored in accordance with our Privacy Policy.

Participant Recording Prohibited: You may not record (audio, video, screenshot, or AI transcription) any virtual session, in whole or in part, without the prior express written consent of Stephanie Kole. Unauthorized recording constitutes a material breach of these Terms and may result in immediate termination of services without refund.

Storage and Retention: Session recordings and AI-generated notes are stored securely using the data storage providers listed in our Privacy Policy. Recordings will be retained for a period of twenty-four (24) months following the session date, after which they will be deleted unless a longer retention period is required by law or agreed upon in writing.

Confidentiality of Session Content: The Company will treat the content of your sessions as confidential and will not share recordings or AI-generated session materials with third parties except: (a) as required by law; (b) with your express written consent; (c) with service providers who assist with storage and data processing, subject to confidentiality obligations; or (d) in anonymized, de-identified form for training or quality improvement purposes.

1.10 Virtual Session & Telecoaching Terms

If you engage in coaching, breathwork, or other services offered by Psyeed®, LLC through virtual means (including but not limited to video conferencing, telephone, and messaging platforms), you acknowledge and agree to the following:

Technology Requirements: You are responsible for ensuring that you have a reliable internet connection, a compatible device (computer, tablet, or smartphone with camera and microphone functionality), and a private, quiet location suitable for your session. The Company is not responsible for technological failures, poor internet connections, or disruptions on your end.

Not a Substitute for In-Person Services: You acknowledge that virtual sessions have inherent limitations compared to in-person interactions. These limitations include but are not limited to potential technology disruptions, limited ability to read body language or provide hands-on guidance, and possible security risks associated with electronic communication. Virtual coaching is not a substitute for in-person medical, mental health, or therapeutic services.

Disruption or Disconnection: In the event of a technology failure or disconnection during a session, the Company will make reasonable efforts to reconnect with you. If the session cannot be resumed, the Company will reschedule the remaining portion of the session at no additional cost, provided that you notify the Company within 24 hours of the disruption.

Security and Confidentiality of Electronic Communications: While the Company uses commercially reasonable security measures (including platform encryption and secure storage), no electronic communication is completely secure. You acknowledge and accept the risk that electronic communications may be intercepted, misdirected, or accessed by unauthorized parties. You agree to notify the Company immediately if you suspect any unauthorized access to your session or personal information.

Geographic Limitations: Coaching services provided by Psyeed®, LLC are offered in accordance with the laws and regulations of the State of Utah. If you are located in a different state or country, you acknowledge that the laws of your jurisdiction may differ and that it is your responsibility to ensure that your participation in virtual services complies with the laws of your location. The Company makes no representation that its services comply with the laws of any jurisdiction outside the State of Utah. You agree to consult with appropriate legal or professional advisors regarding your jurisdiction's requirements if you have any uncertainty about your ability to participate.

Virtual 9D Breathwork — Environment Requirements: For all virtual 9D Breathwork sessions, you agree to: (a) be in a private, safe, quiet space free from interruptions for the full duration of the session and at least sixty (60) minutes following its conclusion; (b) be lying down or seated in a fully reclined position in a stable, safe location — not seated at a desk, in a vehicle, or in any position where loss of physical awareness could cause injury; (c) have a phone or device accessible during the session to contact emergency services if needed; and (d) ensure that another adult is either present or reachable by phone during the session where possible, particularly for your first breathwork session. The Company acknowledges the inherent limitations of virtual facilitation and its inability to physically intervene during a virtual session. You assume full responsibility for your physical safety and environment during all virtual 9D Breathwork sessions. You assume full responsibility for your emergency plan. You agree and understand Psyeed LLC is not part of your emergency plan.

Virtual 9D Breathwork — Camera-Off: For 9D Breathwork sessions only, you may elect to conduct any portion of the session with your camera turned off. By doing so, you acknowledge and assume all additional risks associated with the Company's reduced ability to observe your physical state and well-being. Specifically, you understand that with the camera off, the Company: (a) cannot assess your physical condition, body language, or emotional regulation visually; (b) cannot identify signs of physical distress, altered states, or adverse reactions; (c) cannot verify your environment for safety; and (d) cannot provide the same level of real-time support that is possible during a fully visible session. You assume full and sole responsibility for your physical and emotional safety during any portion of a 9D Breathwork session conducted with the camera off. Camera-off is not permitted during coaching sessions, integration check-ins, or any other session type.

Post-Session Integration Period: You acknowledge that the effects of 9D Breathwork may continue for several hours following the conclusion of a session. You agree to treat the two (2) hours following each breathwork session as a protected integration window, avoiding stressful conversations, screens, and demanding tasks where possible. You agree to contact the Company at hello@psyeed.com if you experience any prolonged or concerning physical or psychological effects following a session. If you experience any symptom that feels like a medical emergency following a session, call 911 immediately.

1.11 Third-Party Resources

The Website may contain links to external websites that are not provided by, maintained by, or in any way affiliated with us. We do not guarantee and are not responsible for the availability, accuracy, relevance, timeliness, or completeness of these external websites or any information thereon. Links to such websites or resources do not imply any endorsement by or affiliation with us. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

We may, from time to time, provide information from a third party in the form of a guest post or interview, in written, audio, video, or other medium. We do not control the information provided by such third-party guests, are not responsible for investigating the truth of any information provided, and cannot guarantee the veracity of any statements made by such guests.

1.12 Errors and Omissions

This Website is a public resource of general information that is intended, but not promised or guaranteed, to be correct, complete, and up to date. We have taken reasonable steps to ensure that the information contained in this Website is accurate, but we cannot represent that this Website is free of errors. You accept that the information contained on this Website may be erroneous and agree to conduct due diligence to verify any information obtained from this Website and/or resources available on it prior to taking any action. THE COMPANY SHALL NOT BE LIABLE OR RESPONSIBLE TO YOU, NOR BE DEEMED TO HAVE DEFAULTED OR BREACHED THESE TERMS, FOR ANY FAILURE OR DELAY IN FULFILLING OR PERFORMING ANY TERM OF THESE TERMS OR IN DELIVERING ANY SERVICES WHEN AND TO THE EXTENT SUCH FAILURE OR DELAY IS CAUSED BY OR RESULTS FROM ACTS OR CIRCUMSTANCES BEYOND THE REASONABLE CONTROL OF THE COMPANY INCLUDING, WITHOUT LIMITATION: ACTS OF GOD, FLOOD, FIRE, EARTHQUAKE, EXPLOSION, EPIDEMIC, PANDEMIC, GOVERNMENTAL ACTIONS, WAR, INVASION OR HOSTILITIES (WHETHER WAR IS DECLARED OR NOT), TERRORIST THREATS OR ACTS, RIOT OR OTHER CIVIL UNREST, NATIONAL EMERGENCY, REVOLUTION, INSURRECTION, LOCK-OUTS, STRIKES OR OTHER LABOR DISPUTES (WHETHER OR NOT RELATING TO EITHER PARTY'S WORKFORCE), RESTRAINTS OR DELAYS AFFECTING CARRIERS, INABILITY OR DELAY IN OBTAINING SUPPLIES OF ADEQUATE OR SUITABLE MATERIALS, TELECOMMUNICATIONS BREAKDOWN, POWER OUTAGE, INTERNET SERVICE DISRUPTION, OR PLATFORM OR TECHNOLOGY FAILURES. WE ARE NOT LIABLE FOR ANY FAILURE TO PERFORM OR PERFORMANCE DUE TO A FORCE MAJEURE EVENT.

1.14 Malicious Code

Although we endeavor to prevent the introduction of viruses or other malicious code ("malicious code") to our Website, we do not guarantee or warrant that our Website, or any data available on the Website, does not contain malicious code. We will not be liable for any damages or harm attributable to malicious code. You are responsible for ensuring that the process you employ for accessing our Website does not expose your computer system to the risk of interference or damage from malicious code.

By engaging with integration coaching services, you acknowledge that your transformative experiences were undertaken entirely at your own initiative and independent judgment, and that the Company's role is limited to supporting your processing, meaning-making, and integration of those past experiences. The Company assumes no responsibility for any experiences that occurred prior to your engagement with Psyeed®, LLC.

3.12 Spiritual Emergency & Psychological Destabilization

Integration coaching, shadow work, breathwork, and other transformative modalities offered by Psyeed®, LLC may bring unconscious material to the surface, catalyze significant identity shifts, or intensify emotional and psychological experiences. In some cases, individuals may experience what is commonly referred to as a spiritual emergency, a period of acute psychological destabilization, disorientation, or crisis that may arise during or following transformative work.

The Company is not a clinical mental health service and is not equipped to provide psychiatric treatment, psychotherapy, crisis intervention, or emergency mental health care. If you experience any of the following at any time during or after engaging with any Psyeed® offering, you must immediately seek support from a licensed mental health professional or emergency services:

The Company will direct you to appropriate emergency resources and, where required by law, may be obligated to take action to protect your safety or the safety of others. This is not a crisis service. The Company's sessions are not a substitute for emergency mental health care, and the Company cannot guarantee continuity of a session or the confidentiality of disclosures where mandatory reporting obligations apply.

By engaging with any Psyeed® service, you acknowledge that you have a safety plan and access to appropriate mental health support, and that you will contact emergency services if you are in crisis rather than relying on a scheduled coaching session as your primary form of support.

Assumption of Risk: You understand that participation in these activities may involve physical, emotional, psychological, and spiritual experiences that carry inherent risks, including but not limited to: physical injury, emotional distress, psychological discomfort, profound shifts in perception or awareness, hyperventilation, dizziness, muscle cramping, tingling, temperature changes, and other physical or emotional responses. You voluntarily assume all such risks.

Medical Clearance: You represent that you are in good physical and mental health and have consulted with your physician and/or mental health professional prior to participating in any breathwork, somatic, or experiential activity. You represent that you have disclosed to Psyeed®, LLC any medical conditions, medications, or other circumstances that may affect your ability to safely participate, including but not limited to: cardiovascular conditions, respiratory conditions, pregnancy, epilepsy or seizure disorders, recent surgery, psychiatric conditions, and use of prescription medications.

Contraindications: You acknowledge that breathwork (including 9D Breathwork) and other somatic practices may be contraindicated for individuals with certain medical or psychological conditions. It is your sole responsibility to determine, in consultation with your licensed healthcare providers, whether participation is appropriate for you.

Pre-Session Health Check-In & Misrepresentation: You agree to respond honestly to any verbal health check-in conducted by the Company before a breathwork session. Any misrepresentation or material omission of health information, whether on an intake form or during a pre-session check-in, constitutes a material breach of these Terms. The Company shall bear no liability for any adverse outcome arising from a session conducted based on materially incomplete or inaccurate health disclosures.

Release and Waiver: To the fullest extent permitted by law, you release and waive all claims against Psyeed®, LLC, its parent company, members, managers, owners, employees, contractors, agents, affiliates, successors, volunteers, venue owners, and event facilitators for any injury, loss, damage, or liability arising from or related to your participation in any in-person event, retreat, breathwork session, or experiential offering, except in cases of gross negligence or willful misconduct.

Emergency Medical Authorization: In the event of a medical emergency during an in-person event, you authorize Psyeed®, LLC and its representatives to seek emergency medical treatment on your behalf. You agree that you are responsible for all costs associated with any emergency medical treatment.

3.17 In-Person & Breathwork Session Conduct Standards

By registering for or participating in any in-person session, ceremony, or 9D Breathwork offering, whether group or private, virtual or in-person, you agree to the following conduct standards. These standards exist to protect your safety, the safety of other participants, and the integrity of the container.

Sobriety Requirement

You agree to arrive to all sessions, check-ins, coaching sessions, ceremonies, and breathwork sessions completely sober and free from the influence of alcohol, cannabis, recreational drugs, or any other mind-altering substance. This requirement applies to all session types — including but not limited to coaching sessions, integration check-ins, 9D Breathwork sessions, and ceremonies — regardless of whether they are conducted virtually or in person, and regardless of the legal status of any substance. The Company reserves the right to end any session immediately and without refund if you appear to be under the influence of any substance. If you are asked to leave or a session is terminated for this reason, no refund or make-up session will be provided.

Respectful Conduct

You agree to conduct yourself with respect toward the facilitator, other participants, the space, and the practices being held. The following are prohibited and will result in immediate removal without refund:

  • Sexual harassment of any kind, whether verbal, non-verbal, or physical, directed toward the facilitator, staff, or any other participant

  • Any behavior that threatens, intimidates, bullies, or creates an unsafe environment for any person present

  • Discriminatory language or conduct of any kind

  • Solicitation of other participants for services, products, or programs during or after the session

Recording Prohibition

You may not bring recording equipment of any kind, including mobile phones, cameras, audio recorders, or any AI transcription device, into any ceremony or breathwork session space. This prohibition exists to protect the privacy and safety of all participants and the sanctity of the container. Violation of this prohibition will result in immediate removal without refund and may result in legal action for breach of these Terms.

Participant Autonomy and Session Safety Protocol

You retain full autonomy during any breathwork session and may choose to rest, slow your breath, pause, or stop the practice at any time by signaling the facilitator. The facilitator will fully support any modification or cessation of your experience.

However, for your safety and the safety of others, you agree not to physically leave the session space during active breathwork without first notifying the facilitator and receiving a brief grounding and safety check before departure. This is a safety protocol, not a restriction on your freedom. Breathwork can induce profound physiological and psychological states — including dizziness, disorientation, emotional activation, and muscle cramping, that may make independent departure unsafe.

If you choose to leave the session space during active breathwork without completing a facilitator-supported grounding process, you expressly assume full personal responsibility for any physical, psychological, emotional, or spiritual effects that may result from departing while in an activated state. The Company shall not be liable for any adverse outcomes arising from your decision to leave without facilitator clearance.

Removal Without Refund

The Company reserves the right to remove any participant from any in-person session, ceremony, or breathwork event who violates these conduct standards, at the Company's sole discretion and without prior notice. Removal does not entitle the participant to a refund of any fees paid, in whole or in part. By registering for any in-person or breathwork offering, you expressly acknowledge that your continued participation is contingent on compliance with these conduct standards.

3.18 No Guarantee of Results

You agree that the Company has not made any guarantees about the results of taking any action, whether recommended on this Website or not. The Company provides educational and informational resources that are intended to help users succeed. If all eligible payment methods the Company has on file for you are declined for payment of your monthly fee, you must provide a new eligible payment method promptly or your access to the Product will be revoked three (3) days after the missed payment.

If your account remains in delinquent status for longer than thirty (30) days or you initiate a chargeback, the Company reserves the right to report any delinquent balance owed to a credit reporting bureau and/or collections agency at our sole discretion.

A payment plan is not a subscription payment model that can be canceled. The payment plan is a convenience that the Company offers so that you can make the price sustainable.

4.6 Product Access & Availability

Term of Access

For all Products accessible via a course platform or sharing link, your access to the Product(s) begins upon completion of your purchase and will continue for the lifetime of the Product(s), but no less than 90 days. The Company reserves the right to discontinue any Product and terminate your access at any time for any reason. No refunds will be granted if the Product is discontinued. In the event that the Company decides to discontinue any given Product, you will receive 30 days' notice and an opportunity to download certain resources.

Availability

The Company does not own the online course platform or community by which the Product is provided and delivered. Your access may sometimes be subject to interruption or delay outside of our control. We will not be liable to you should our course platform or community or the resources or services supplied through them become unavailable, interrupted, or delayed for any reason.

4.7 Confidentiality

We will not disclose any information you provide except as set forth in these Terms and as further provided in our Privacy Policy. You agree to respect the privacy of other purchasers. You agree not to share any information provided by other purchasers outside the community unless you receive express written permission from such other purchaser.

You further agree to respect the Company's confidential information. You agree not to share the information provided to you in the Product(s) with anyone other than the Company and other purchasers of the Product.

4.8 Group Programs, Communities, and Retreats

If you participate in any group coaching program, online community, or group session offered by Psyeed®, LLC, you acknowledge and agree to the following:

Confidentiality of Others: You agree to maintain the confidentiality of all information shared by other participants during group sessions, online communities, and related communications. You will not disclose, share, or reference the identity, personal information, stories, or experiences of any other participant outside the group without their express written consent.

Respectful Participation: You agree to engage with other participants respectfully, without engaging in harassment, discrimination, bullying, hate speech, or any conduct that creates a hostile or unsafe environment. The Company reserves the right to remove any participant who violates these standards, without refund.

No Professional Advice Among Participants: You acknowledge that other participants are not licensed professionals and that any advice, opinions, or experiences shared by other participants should not be relied upon as professional advice.

Company's Right to Use Anonymized Feedback: The Company may use anonymized, de-identified feedback, themes, and insights from group settings for program improvement, case studies, educational content, and marketing purposes. No personally identifiable information will be disclosed without your express written consent.

Photo, Video, and Media at In-Person Events: At in-person events, the Company may take photographs and/or video for marketing and promotional purposes. You will be notified in advance and may opt out of being photographed or recorded by notifying the Company in writing prior to the event. Your continued participation in the event after notification constitutes consent unless you have opted out.

4.9 Your Materials and Contributions

By submitting a comment, photo, video, or other material(s) to the Company via the Product or otherwise, you grant to the Company a non-revocable, commercial license to republish your submission in whole or in part unless you explicitly state that we may not do so with said submission.

You must own the copyright to any image(s) you use in relation with the Product(s). You grant the Company a non-revocable, commercial license to any image(s) you submit to us by default, such as a profile photo or other profile image you voluntarily provide in accessing the Product(s).

4.10 Intellectual Property (Products)

The Product(s) contain intellectual property owned by the Company and/or the IP Owner, including trademarks, copyrights, proprietary information, and other intellectual property. Your purchase of the Product(s) does not result in a transfer of any intellectual property to you. The Company grants you a single-use, non-exclusive, non-transferable, revocable, royalty-free license to access and use the Product(s) for your personal or internal business use.

You agree that you will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Product(s), or offer any competing Product(s) or services based upon any information contained in the Product(s).

4.11 Equitable Relief

You acknowledge and agree that in the event of a breach or threatened violation of the Company's intellectual property rights and confidential and proprietary information by you, the Company will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce these Terms. You hereby irrevocably and unconditionally consent to the personal and subject matter jurisdiction of the federal and state courts in Salt Lake County, State of Utah for purposes of any such action by the Company.

4.11.1 Course Content Version Control

The version of any Digital Product accessible at the time of the Client's most recent login shall govern for purposes of these Terms. The Company's records of course versions and update history shall be conclusive in any dispute regarding course content.

4.11.2 Statute of Limitations on Course Claims

Any claim arising from the purchase of or participation in any Digital Product must be brought within one (1) year of the date of purchase. Claims brought after this period are expressly waived.

4.12 Limitation of Liability (Products)

In no event shall the Company be liable to you for any direct, indirect, consequential, or special damages. The Company's entire liability for any breach of these Terms, and your sole remedy, shall be limited to the purchase price actually paid by you to the Company.

YOU ACKNOWLEDGE THAT THIS LIMITATION OF LIABILITY WAS A MATERIAL INDUCEMENT FOR THE COMPANY TO MAKE ITS PRODUCTS AND SERVICES AVAILABLE TO YOU AND THAT THE COMPANY WOULD NOT HAVE DONE SO WITHOUT THIS LIMITATION.

YOU AGREE THAT ANY CLAIMS ARISING FROM OR RELATED TO YOUR PURCHASE OR USE OF THE PRODUCT(S) SHALL BE BROUGHT SOLELY AGAINST PSYEED, LLC AND NOT AGAINST ITS PARENT COMPANY, MEMBERS, MANAGERS, OWNERS, AFFILIATES, SUCCESSORS, OR RELATED ENTITIES.

4.13 No Warranties (Products)

WE MAKE NO WARRANTIES AS TO THE PRODUCT(S). YOU AGREE THAT THE PRODUCT(S) ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED.

4.14 Non-Disparagement

If you are found to be slandering, libeling, or otherwise disparaging the Company, Product(s), Stephanie Kole, or related materials, your access to the Product(s) will be immediately revoked without refund. The Company reserves the right to file a civil claim of action against you for any such damaging actions you take that materially harm the Company.

Social Media Conduct: You agree not to post, comment, tag, share, or otherwise publish any content on any Psyeed® social media page, account, or platform, including but not limited to Instagram, Facebook, TikTok, YouTube, LinkedIn, X (formerly Twitter), or any other platform, that is false, defamatory, harassing, abusive, threatening, sexually explicit, discriminatory, or otherwise harmful or offensive. You agree not to engage in targeted harassment, hate speech, or coordinated negative campaigns directed at Stephanie Kole, the Company, or any affiliated person across any social media platform. You agree not to tag, mention, or publicly call out Stephanie Kole or the Company in any post or story intended to damage the Company's reputation, disparage its offerings, or discourage others from engaging with the Company's work. Any violation of this Section constitutes a material breach of these Terms and will result in immediate termination of access to all Psyeed® offerings without refund. The Company reserves the right to report violations to the relevant platform, to seek injunctive relief, and to pursue any and all available legal remedies including claims for reputational and financial damages.

4.15 Indemnification (Products)

You shall indemnify and hold harmless Psyeed, LLC, its parent company, members, managers, owners, officers, employees, contractors, agents, affiliates, successors, and volunteers from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third-party claims and causes of action, including, without limitation, attorney's fees, arising out of your breach of any of these Terms, your use of the Product(s), or your failure to maintain the confidentiality and/or security of your password or access rights to the Product(s).

4.16 Force Majeure

The Company shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Company.

4.17 Changes to Terms of Purchase

The Company reserves the right at any time to modify these Terms and to impose new or additional terms or conditions on your use of the Product(s). Such modifications and additional terms and conditions shall be effective immediately and incorporated into these Terms. Your continued use of the Product(s) will be deemed your acceptance of such changed terms.

4.18 Alternative Dispute Resolution (Products)

You agree to notify the Company of any concerns or issues regarding the Product(s), and to give the Company an opportunity to resolve those concerns or issues. If you and the Company cannot find a resolution to a dispute or potential claim by means of good-faith negotiation, then you explicitly agree to make a reasonable attempt to resolve any such dispute through Alternative Dispute Resolution or Mediation before filing a civil cause of action. If mediation does not result in a resolution within sixty (60) days, the binding arbitration provisions of Section 1.23 shall apply.

4.19 Governing Law; Jurisdiction (Products)

These Terms shall be construed in accordance with, and governed by, the laws of the State of Utah. You agree that any proceeding relating to the Product(s) must be filed exclusively in the appropriate courts located in Salt Lake County, Utah.

4.20 Effect of Headings; Severability (Products)

The subject headings of the paragraphs and subparagraphs of these Terms are included for convenience only and shall not affect the construction or interpretation of any of its provisions. If any portion of these Terms are held to be unenforceable or contrary to law, such portion shall be construed in accordance with applicable law so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remainder of the provisions shall remain in full force and effect.

4.21 Entire Agreement; Waiver (Products)

These Terms, together with the Privacy Policy and Disclaimers, constitute the entire agreement between you and the Company pertaining to the Product(s) and supersede all prior and contemporaneous agreements, representations, and understandings between us. All rights not expressly granted in these Terms are reserved by the Company.

SECTION 5: REFUND POLICY

If you experience any difficulties accessing, retrieving, or downloading your purchased Product(s), contact the Company immediately at hello@psyeed.com.

5.1 On-Demand Courses and Digital Products

All purchases of on-demand courses, digital downloads, guided meditations, audio files, workbooks, and other digital products are final and non-refundable upon the earlier of: (a) the purchaser accessing or downloading the product, or (b) seventy-two (72) hours after the date of purchase, whichever occurs first. If you experience a technical issue preventing access within the first 72 hours and have not yet accessed the content, contact us at hello@psyeed.com and we will work to resolve it.

5.2 9D Breathwork Sessions

All purchases of standalone 9D Breathwork sessions, group virtual, group in-person, or private 1:1, are non-refundable once purchased. If you need to reschedule a private session, you must provide at least forty-eight (48) hours' notice. Sessions canceled with less than 48 hours' notice or missed without notice are forfeited without refund or rescheduling.

5.3 Coaching Programs

Refund terms for all Psyeed® Method™ programs are governed exclusively by the Service Agreement signed at the time of enrollment. The terms of that Agreement control and supersede this general refund policy with respect to coaching programs.

5.4 Chargebacks

If you initiate a chargeback with your bank or credit card provider, the Company reserves the right to immediately revoke your access to all purchased products and services without refund, report any delinquent balance to a credit reporting bureau and/or collections agency, and pursue any and all available legal remedies. You agree to be solely responsible for all costs incurred by the Company as a result of the chargeback, including but not limited to chargeback fees charged by the payment processor, collection agency fees, and reasonable attorney's fees and court costs incurred in recovering any amounts owed. This obligation survives the termination of your access to any product or service.

5.5 License Revocation Upon Refund

Your license to use any purchased product and related materials is revoked immediately upon the Company's receipt of your refund request via email at hello@psyeed.com. By requesting and accepting a refund, you agree to immediately cease using and permanently delete all materials related to the purchased product from all your electronic devices, including but not limited to video recordings, audio recordings, forms, templates, checklists, guides, and other resources.

SECTION 6: SPEAKING ENGAGEMENTS

6.1 Intellectual Property at Speaking Events

All content shared by Stephanie Kole during any speaking engagement, keynote, panel, workshop, or public appearance — whether in person or virtual — is the proprietary intellectual property of Psyeed®, LLC. No portion of any speaking presentation may be recorded, reproduced, distributed, or used for commercial purposes without prior written consent from the Company.

6.2 Speaker Agreements

Event organizers who engage Stephanie Kole as a speaker agree to the terms set forth in a separate Speaker Agreement. These Website Terms do not govern the terms of speaking engagements with third-party event organizers.

6.3 Attendees Not Clients

Attendees at any event where Stephanie Kole speaks are not clients of Psyeed®, LLC by virtue of attendance alone. No coaching relationship, duty of care, or ongoing obligation is created by attendance at a speaking event.

SECTION 7: NON-DISPARAGEMENT & REVIEWS

Before posting any public review, comment, or statement that references the Company, any Psyeed® offering, you agree to contact the Company directly at hello@psyeed.com to give the Company an opportunity to resolve any concern. This does not restrict your right to leave honest reviews, it ensures that concerns are addressed directly before being made public.
